Terms & Conditions

1. Acceptance of Terms

By accessing or using any services provided by GTA Digital Solutions Inc. ("GTA", "we", "us", or "our"), you agree to be bound by these Terms and Conditions. If you do not agree to all of these terms, you must not use our services. These Terms apply to all clients, visitors, and users of our platforms, websites, and services.

2. Services

GTA Digital Solutions provides the following services:

  • Web hosting and infrastructure management
  • Social media marketing and paid advertising
  • Search Engine Optimization (SEO), Answer Engine Optimization (AEO), and Generative Engine Optimization (GEO)
  • AI automation and workflow engineering
  • AI receptionist setup and management
  • Domain registration and professional email (resold via GoDaddy reseller program)

Services are delivered per the scope of work outlined in each individual service agreement or order confirmation. GTA reserves the right to modify, suspend, or discontinue any service with 30 days' written notice to the client.

3. Payment Terms

All prices are quoted in Canadian Dollars (CAD) unless otherwise specified. Payment is due as follows:

  • Monthly recurring services: billed on the same calendar day each month
  • One-time projects: 50% deposit required to commence work; remaining 50% due on delivery
  • Enterprise and custom agreements: per negotiated milestone schedule

Payments are processed through Stripe, Razorpay, or PayPal. By providing payment information, you authorize GTA to charge the applicable fees. Overdue invoices accrue interest at 1.5% per month. GTA reserves the right to suspend services for accounts more than 14 days past due.

4. Refunds

Refund eligibility varies by service type. Please see our full Refund Policy for details. Domain purchases are non-refundable per ICANN policy. AI automation and receptionist builds are subject to milestone-based refund terms.

5. Intellectual Property

Upon full payment, clients receive full ownership of all custom deliverables created specifically for their project (code, content, design assets). GTA retains the right to use anonymized project details as portfolio references unless explicitly restricted in writing.

Pre-existing GTA tools, frameworks, templates, and automation libraries remain the intellectual property of GTA Digital Solutions Inc., even when deployed within a client's environment. Clients receive a perpetual license to use these components as delivered.

6. Data & Privacy

GTA Digital Solutions processes personal data in accordance with:

  • Canada's Personal Information Protection and Electronic Documents Act (PIPEDA)
  • The European Union's General Data Protection Regulation (GDPR), where applicable
  • India's Digital Personal Data Protection Act (DPDP Act), where applicable

We collect only the data necessary to deliver contracted services. Client data is never sold to third parties. Data retained for hosted services is stored on servers located in Canada or the European Economic Area unless the client requests otherwise. You may request deletion of your personal data at any time by emailing privacy@gtadigitalsolutions.com.

7. Service Level Agreement (SLA)

For web hosting services, GTA guarantees 99.9% uptime measured monthly, excluding scheduled maintenance windows (communicated with at least 48 hours' notice) and force majeure events. In the event uptime falls below the guaranteed threshold, clients are eligible for a pro-rated service credit calculated as follows:

  • 99.0%–99.9% availability: 10% credit
  • 95.0%–98.9% availability: 25% credit
  • Below 95.0% availability: 50% credit

Service credits must be requested within 30 days of the relevant incident and are applied to future invoices. No cash refunds are issued for SLA breaches.

8. Termination

Either party may terminate a month-to-month service agreement with 30 days' written notice. GTA may terminate immediately if a client breaches these Terms, engages in illegal activity using GTA infrastructure, or fails to pay after a 14-day cure period following written notice. Upon termination, clients have 14 days to export any hosted data. After that window, GTA may permanently delete all associated data.

9. Limitation of Liability

To the maximum extent permitted by applicable law, GTA Digital Solutions Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or business interruption — arising from or related to your use of our services, even if advised of the possibility of such damages.

GTA's total aggregate liability for any claim arising from or relating to these Terms or the services shall not exceed the total fees paid by the client in the 3 months preceding the claim.

10. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
